Constitution of the Singapore Business Chamber in Cambodia Association (SBCCA)

Article 1: Name and Purpose

 

1.1. The organisation shall be known as the Singapore Business Chamber in Cambodia Association (SBCCA).

1.2. The purpose of the SBCCA is to promote trade, investment, and business collaboration between Singapore and Cambodia, provide networking opportunities, and represent the interests of its members.

 

Article 2: Membership

2.1. Membership shall be open to individuals, businesses, and organisations engaged in trade, investment, or professional services between Singapore and Cambodia.
 

2.2. Categories of Membership:

  • Corporate Membership (Enterprises)

  • Individual Membership (Entrepreneurs and Professionals)

  • Honorary Membership (Distinguished individuals who contribute to bilateral trade relations)

 

Article 3: Governance


3.1. The Chamber shall be governed by an Executive Committee (ExCo) comprising:

  • President (Chairperson)

  • Vice-President

  • Secretary

  • Treasurer

  • Committee Members (as required)

 

3.2 The ExCo shall be elected by members at the Annual General Meeting (AGM) for a term of two years.  At a minimum, four members (President, Vice-President, Secretary, and Treasurer) are required to form an ExCo. Additional committee members may be appointed as necessary to support the Chamber's activities.

Article 4: Meetings


4.1. The Chamber shall hold an AGM annually to:

  • Review the activities and financial status

  • Elect new office bearers (if necessary)

  • Discuss future plans

 

4.2. The ExCo shall meet at least once every quarter.
 

Article 5: Membership Fees

5.1. Membership fees shall be reviewed annually by the ExCo.


5.2. Recommended Membership Fees:

  • Corporate Membership: USD 350 per year

  • Individual Membership: USD 100 per year (exclusively to Singaporean citizens, who are granted voting rights)

  • Individual (Associate) Membership: USD 100 per year (available to individuals who are not Singaporean citizens and do not have voting rights)

  • Honorary Membership: By invitation only

 

Article 6: Finance and Accounts

 

6.1. The Chamber shall maintain a transparent financial system, with an annual audit conducted by an independent auditor.

6.2. The Treasurer shall present financial reports at the AGM.

6.3. Funds shall be used solely for activities in line with the Chamber's objectives.

 

Article 7: Code of Conduct


7.1      Members are expected to uphold the highest professional and ethical standards.
7.2      Any member found violating the Chamber’s policies may be subject to disciplinary action, including termination of membership.

 

Article 8: Dissolution

8.1 In the event of dissolution, all assets shall be transferred to a non-profit organisation promoting Singapore-Cambodia trade relations.
